Offering terms confirmation

The definitive documents control.

This page summarizes the general framework for a potential AIS investment. It is not an offer, a subscription agreement or a complete statement of terms. Terms may be adjusted at any time, and the latest definitive offering, subscription and governing documents delivered to an investor will control.

Important confirmation

No fixed public pricing schedule

AIS does not present Basic, Plus or Premium investment plans. Applicable terms depend on the offering documents, investor eligibility, accepted subscription and any lawful class- or investor-specific arrangements.

General framework

Terms reviewed before any subscription is accepted.

01

Investor eligibility and acceptance

Participation is available only to investors who satisfy the eligibility standards in the current offering documents, including applicable accredited-investor and other qualification requirements. Every subscription remains subject to review and acceptance by the fund or its authorized representative.

02

Subscription process

An investment is not complete until the prospective investor has received the current offering materials, submitted all required subscription, identity, anti-money-laundering and tax documentation, funded the accepted amount, and received confirmation of acceptance.

03

Investment approach

The contemplated strategy applies systematic macro and fundamental quantitative research through liquid public-market instruments. Portfolio exposures, concentration, leverage, hedging and implementation may change as market conditions and model assessments change.

04

Fees and fund expenses

Management fees, performance-based compensation and fund expenses, if applicable, are described only in the current definitive offering documents. Fees, expenses, trading costs and taxes reduce investor returns and may differ by investor or class where permitted.

05

Liquidity and withdrawals

Subscription timing, lockups, notice periods, withdrawal or redemption rights, gates, suspensions, reserves and distributions are governed exclusively by the current definitive documents. Liquidity can deteriorate during stressed markets.

06

Valuation and reporting

Valuation policies, investor reporting, allocations and the treatment of estimates are set out in the governing documents and related procedures. Interim or estimated values may be revised when additional information becomes available.

07

Transfers, conflicts and service providers

Fund interests may be subject to transfer restrictions. The offering documents describe material conflicts, allocation practices and the roles of administrators, custodians, brokers, auditors, legal counsel and other service providers, as applicable.

08

Changes to terms

AIS and the applicable fund parties may revise, supplement, waive or replace contemplated terms at any time, subject to the definitive documents and applicable law. The most recently delivered and accepted definitive documents control over this page and all other summaries.

Prospective investor acknowledgement

Review the current materials before deciding.

By requesting materials or submitting a subscription, a prospective investor confirms that they will rely only on the definitive documents, conduct their own diligence and consult their own legal, tax, accounting and investment advisers. Investing involves substantial risk, including the possible loss of all invested capital.
